Acceptance of Terms

Welcome to LogRocket, Inc. These Terms of Service ("Terms") constitute a legally binding agreement between you and LogRocket, Inc. ("Company," "we," "us," or "our") governing your access to and use of our website, applications, and other software, products, and services provided by the Company (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

You represent and warrant that you have the legal capacity to enter into these Terms. If you are accessing or using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Description of Service

LogRocket provides a platform for monitoring and analyzing web applications. Our services include:

  • Session Replay: Recording and playback of user sessions in web applications
  • Error Tracking: Detection, recording, and analysis of JavaScript errors and exceptions
  • Performance Monitoring: Tracking and analysis of application performance metrics
  • Analytics: Collection and analysis of user behavior data and application metrics

Our platform helps development teams understand user behavior, identify and fix bugs, and optimize application performance. We provide these services through our website, API, and software development kits (SDKs) that can be integrated into customer applications.

Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Services under applicable law
  • Comply with all applicable laws and regulations

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration

To access certain features of the Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate, current, and complete
  • Keep your login credentials confidential and secure
  • Promptly notify us if you discover any unauthorized use of your account

You are responsible for all activities that occur under your account. We are not responsible for any losses caused by your failure to protect your account credentials.

User Responsibilities

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable laws or regulations
  • Use the Services to transmit malware, spam, or other harmful content
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Collect information about other users without their consent
  • Use the Services to infringe the intellectual property rights of others
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to violate the privacy rights of individuals
  • Use automated systems to access the Services without our prior written consent

Prohibited Uses

The following uses of the Services are expressly prohibited:

  • Monitoring or tracking users without proper disclosure and consent where required by law
  • Collecting sensitive personal data (such as health information, racial or ethnic origin, religious beliefs) without appropriate legal basis
  • Using the Services for any illegal, harmful, or fraudulent purpose
  • Using the Services to create discriminatory, defamatory, or harassing content
  • Using the Services in a manner that could damage our reputation or goodwill
  • Selling, leasing, or sublicensing the Services to third parties

Intellectual Property

The Services, including all content, features, and functionality, are owned by LogRocket, Inc. and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. This license does not include any right to:

  • Copy, modify, or create derivative works based on the Services
  • Use the Services for commercial purposes not authorized by us
  • Remove any proprietary notices from the Services

Content you upload to the Services remains your property. You grant us a license to use, store, and process that content solely to provide the Services to you.

Fees and Payment

Some of our Services require payment of fees. By using paid Services, you agree to pay all applicable fees as described on our pricing page or in your subscription agreement.

All fees are billed in advance on a recurring basis. Payment is due upon receipt of invoice. We accept payment through our approved payment processors.

We may change our fees at any time by providing you with at least 30 days' notice. Your continued use of the Services after a fee change constitutes your acceptance of the new fees.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS

We do not warrant that the Services will be uninterrupted, error-free, or secure. We are not responsible for any data loss or corruption that may occur during use of the Services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOGROCKET, INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES FOR LOSS OF GOODWILL
  • WORK STOPPAGE OR COMPUTER FAILURE
  • DAMAGES ARISING FROM INTERRUPTION OF SERVICE

Our total liability for all claims arising from the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless LogRocket, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you submit through the Services

Third-Party Services and Links

Our Services may contain links to third-party websites or services. We are not responsible for the content, practices, or policies of third-party services. Your use of third-party services is at your own risk and subject to their terms of service.

We may integrate with third-party services to provide additional functionality. These integrations are provided as a convenience and may be modified or discontinued at any time.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms
  • Conduct that we determine to be harmful to the Services or other users
  • Extended periods of inactivity
  • Legal requirements or requests from law enforcement

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

Upon termination, your right to use the Services will immediately cease. We may delete your account and associated data following termination.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Boston, Massachusetts. You consent to the personal jurisdiction of these courts.

Dispute Resolution

Before filing a claim, you and we agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, either party may pursue mediation or arbitration as an alternative to litigation.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and LogRocket, Inc. regarding the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
